What’s an SRL?

The SRL (société à responsabilité limitée) is a popular business type in Belgium. The most important characteristic of an SRL is the limited liability of shareholders. This means that, in case of bankruptcy, creditors will only be able to make a claim to the company assets – not the personal capital of shareholders. 

Who should consider an SRL? 

An SRL is perfect for entrepreneurs who want to protect their personal assets from potential company debt. The shares of an SRL are flexible and can, under certain conditions, be transferred. 

What are the benefits of an SRL? 

  • Limited liability: shareholders are only liable up to the amount of their contribution to the company. 
  • No minimum capital required: to start an SRL, you don’t need a certain amount in the bank. 
  • Flexibility: the SRL offers heaps of flexibility in terms of capital contribution and transferability of shares. Different types of shares can be issued with different voting and capital rights.  
  • One person will suffice to start an SRL. 

What are the downsides to an SRL? 

  • Joint and several liability of directors: although limited to a certain maximum amount, directors can still be held liable, especially in the case of serious errors or fraud.  
  • Detailed financial plan: because there isn’t start-up capital, you need a detailed financial plan.
